## Summary

[BitDAO](https://www.bitdao.io/) aims to support builders of the decentralized economy. It is an open platform for proposals that are voted upon by BIT token holders.\ <br>

## **Governance**

BitDAO is governed by [$BIT](https://etherscan.io/address/0x1a4b46696b2bb4794eb3d4c26f1c55f9170fa4c5) token holder&#x73;**.** It is permissionless to submit soft proposals on the [BitDAO forum](https://discourse.bitdao.io/), and official proposals on the [BitDAO Governance Module (Snapshot)](https://snapshot.org/#/bitdao.eth). It is permissionless to hold $BIT, [delegate](https://delegate.bitdao.io/) $BIT, and vote on proposals.

All decisions, from launching new initiatives to transferring and recalling treasury resources, assigning and modifying powers to operating teams, and implementing corrective actions, are subject to proposals and voting by $BIT token holders.

## Resource Management

The BitDAO [treasury](https://etherscan.io/address/0x78605Df79524164911C144801f41e9811B7DB73D) grows through:

1. Net inflows from BIT powered products such as [Mantle](https://www.mantle.xyz/) (an Ethereum Rollup with inflows from various layers of the modular blockchain stack).
2. The increasing value of assets held in the treasury or off-chain.
3. Contributions from [Bybit](https://docs.bitdao.io/partners/bybit-pledge) (currently a fixed-schedule of $BIT).

The BitDAO treasury allocates resources to:

1. Fund the development and adoption of BIT powered products ([see BIP-19 Mantle Budget](https://snapshot.org/#/bitdao.eth/proposal/0x5e82c6ef374db3e472717d3e79b05f246f9a29de3435adb457ae34afa192b5be)).
2. Specialized initiatives (such as [Game7](https://snapshot.org/#/bitdao.eth/proposal/0xbd13e676c375e136ef943bf94d2ee07ea705d6edf97c4346ea48c81ffa23f8d0) in collaboration with [Forte](https://game7.io/), and [EduDAO](https://snapshot.org/#/bitdao.eth/proposal/0x4824ee67e68fcc271996628cb47fc4702b4030a01df88a1931fe65849fbad294) in collaboration with student groups).
3. [Liquidity support](https://snapshot.org/#/bitdao.eth/proposal/0x0f6d39f40b42d829c62c07a574b4c8f320715926a872e40492387649a19da9a8) and [BIT Purchase programs](https://snapshot.org/#/bitdao.eth/proposal/0xba5e1b00546f6f373cd86fe69b2d03324fb158243c9d88f347471dcd1fe1746d).

## **Principles**

BitDAO is not a company. It does not have a management team or employees. BitDAO is a collection of builders and stakeholders who hold $BIT tokens and are motivated to make the project a success.

Anyone can propose partnerships and protocol upgrades for BitDAO. $BIT token holders may vote on whether to approve or reject these proposals.

Holding $BIT entitles holders to submit and vote on proposals. It does not entitle holders to impose their will upon other contributors. For example, a proposal that says "BitDAO should build X product" is unlikely to be executed as BitDAO has no employees and cannot compel third party development teams to act. Such a proposal should be written as "we believe X product is required, we will build it, here is the BitDAO funding request and detailed proposal".

Partnerships or $BIT use-cases that are sponsored by others do not require a governance proposal (for example hackathons or education events). BitDAO welcomes all free publicity and $BIT use-cases.

### **BitDAO Treasury (Safe)**

* The official asset custody solution is <https://safe.global/> (previously known as Gnosis Safe)
* BitDAO core Treasury uses a direct implementation of [Safe](https://github.com/gnosis/safe-contracts) to store its treasury assets.
* BitDAO's main treasury contract is upgradable and can be found at the following Ethereum address:\

* Safe is a widely used standard for enabling multi-sig control over an Ethereum address.

Do not transfer assets into the BitDAO Treasury unless you intend on making a donation. Transferring assets into the BitDAO Treasury will not return any BIT tokens or any other tokens. ### **Governance Module (Snapshot)**

* Snapshot is an off-chain vote aggregation platform.
* Snapshot was chosen to make governance simple and transparent for our users. It is a tried and true solution with a great user interface and user experience, and used by many industry leading projects such as Balancer, Yearn Finance, SushiSwap, Uniswap, Bancor, The Graph, and Aave.
* Snapshot-based governance, is commonly referred to as "soft" governance as the result of the vote is not automatically implemented. A development and operations team is required to perform subsequent actions.

### Governance Token (BIT)

* BitDAO’s governance token, BIT, is an instance of [Compound Finance’s governance token](https://github.com/compound-finance/compound-protocol/blob/master/contracts/Governance/Comp.sol) COMP.
* This has been selected instead of a standard ERC-20 token, as it supports 1) delegated voting, and 2) off-chain vote aggregation with the potential of moving to on-chain governance at a later phase.

### **Governance Discussions (Forum)**

* The recommended forum for discussions regarding the $BIT ecosystem is: <https://discourse.bitdao.io/>
* Ideas that garner enough community support can be submitted for voting.
* A community member may draft a soft proposal or discussion, that leads to an official BitDAO vote. Such proposals act as a “temperature test” or a poll, but do not guarantee implementation.
* The idea needs to be adopted by a development team, with finalized code audited and submitted, then deployed by the multi-sig administrators.

### **Delegated Voting**

* BIT holders cannot vote or create proposals until they delegate their voting rights to an address.
* Delegation can be given to one address at a time, including the holder’s own address.

### Multi-Sig Administrators

* BitDAO treasury (Gnosis Safe) and Snapshot Space are administered by a multi-sig wallet.
* Community suggestions will be considered to distribute the signing keys more widely.
* Proposed changes to multi-sig signers or rules will require a BitDAO vote.

### Snapshot Space Administration

* Key settings (Snapshot Strategy, Proposal Threshold, Vote Duration, Vote Threshold) are managed by the BitDAO Snapshot Space who have been nominated by the bitdao.eth dns multi-sig owners.
* These settings are enforced by policy and not code, as such BitDAO affiliated product teams, and multi-sig administrators will not recognize any proposals that do not comply with settings.

### **Snapshot Strategy**

* Defines the vote weight of each token.
* Our initial setting is 1 BIT = 1 vote weight, so each BIT has equal voting power.
* Future strategies may include: allocating vote weight to xBIT or BIT-ETH LP tokens to enable BIT holders who have staked, wrapped, or provided liquidity to retain voting power.

### **Snapshot Proposal Threshold**

* **"**&#x50;roposal Threshold" is typically defined as the number of votes required to create a proposal.
* In BitDAO Snapshot Space this is done through a visual filter, to only display proposals from users who have at least the threshold number of BIT tokens delegated to their address.

### **Snapshot Vote Duration**

* The length of time between voting start and voting end.

### **Snapshot Vote Threshold**

* The minimum number vote weight (BIT tokens) required to vote on a proposal for the vote to be effective.
* If this minimum is not met, the vote is unsuccessful even if the majority of voters voted yes.

## Overview

BIT holders cannot vote or create proposals until they delegate their voting rights to an address. Delegation can be given to one address at a time, including the holder’s own address.

Note that delegation does not lock or transfer tokens. If an isolated delegatee wallet is stolen, compromised, or interacts with the incorrect smart contract, this will not directly result in the loss of BIT tokens, and the BIT holder can delegate to another address.

Delegation enables modification of vote weight independent from BIT holdings. This allows for decentralization of voting on BitDAO proposals, and adjustment of vote weight distribution between voters with different areas of expertise and interests.

Bybit has pledged to contribute 2.5bps of futures trading volume to the BitDAO treasury. Note that the 2.5bps was based on 50% of nominal fees (which at the time was 7.5bps taker and -2.5bps maker).

## Structure and Setup

**Who owns BitDAO? Who controls the BitDAO treasury?**\
BIT token holders have governance control over BitDAO.

**Is BitDAO a registered organization?**\
BitDAO is not a registered company. We are a collection of token holders who agree to be governed by a set of smart contracts on the blockchain.

**What is a DAO and why does BitDAO use this structure?**\
A DAO‌ is a decentralized autonomous organization, a structure used by many DeFi and crypto projects to govern their protocols. Decentralized — as there can be many DAO token holders with no single party having unilateral control. Autonomous — as any action successfully voted in by the DAO can be automatically executed on-chain without an intermediary.

"Decentralized" and "Autonomous" is a spectrum, with many projects including BitDAO moving towards this goal over time. There are many factors to consider such as:

* Inefficiency of DAO decision making
* The required efficiency of centralized dev teams and administrators during early stages of the project
* Balancing decentralization and rewarding contributors — what if a few core teams contribute the most? Are they entitled to majority of DAO tokens? If not, what incentivizes them to be contributors instead of free riders?
* Limitations of current governance and blockchain technologies

**How secure is BitDAO?**\
As with any crypto project there is a chance for complete loss of funds, exploits or bugs in the smart contract, or malicious actions, or mistakes made by multi-sig administrators. Our phase 1 design is relatively simple and uses battle-tested industry standard components including an instance of [COMP](https://github.com/compound-finance/compound-protocol/blob/master/contracts/Governance/Comp.sol) token, [Gnosis Safe](https://github.com/gnosis/safe-contracts), and [Gnosis Snapshot](https://snapshot.org/#/).

## Participation

**How do I participate in BitDAO?**\
We are inviting the community to collaborate: be a community member, contributor, partner, token holder.

Community Members: Non-token holders can participate in our forum and social media, and share ideas. Good ideas may be adopted by BIT token holders. Community leaders may be provided with delegated votes.

Contributors: Individuals or teams that can help develop BitDAO protocols, or work to arrange due diligence and token swaps with other projects, and request grants from BitDAO.

Token holders (such as launch partner Bybit or SushiSwap) will determine what to do with their BIT tokens, likely having some community reward programs on their respective platforms. For BIT tokens held in the BitDAO treasury, any free token distributions will need to be proposed and voted on.
